    1. Acceptance of Terms

    By creating an account, accessing, or using CopeSwipe (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, do not use the Service.

    These Terms constitute a legally binding agreement between you and TherAptAI Corporation, a Delaware corporation ("we," "us," or "our"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

    2. Description of Service

    CopeSwipe is a digital platform that enables licensed mental health clinicians to assign, manage, and track between-session coping skill exercises for their clients. The Service includes tools for coping skill delivery, exposure and response prevention (ERP) therapy support, client progress tracking, and clinician-client communication within the platform.

    CopeSwipe is a practice management and client engagement tool. It is not a medical device, does not provide clinical diagnoses, and does not make treatment recommendations. All clinical decisions remain solely with the licensed clinician. See Section 9 for the complete disclaimer.

    3. Eligibility and Account Types

    3.1 Clinician Accounts

    To register as a clinician on CopeSwipe, you must:

    By registering, you represent and warrant that all information you provide is accurate. We reserve the right to verify licensure and to suspend or terminate accounts where licensure cannot be confirmed.

    • Hold a valid, active license to practice mental health services in your jurisdiction
    • Be at least 18 years of age
    • Provide accurate and complete registration information
    • Maintain your license in good standing for the duration of your subscription

    3.2 Client Accounts

    Client accounts are created by licensed clinician subscribers on behalf of their clients. Clients must be at least 13 years of age. Clinicians are responsible for obtaining any consent required by applicable law before adding a client to the platform.

    4. Account Registration and Security

    You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

    • Enable and maintain multi-factor authentication (MFA) on your clinician account, as required by the Service
    • Use a strong, unique password and not share your credentials with any other person
    • Notify us immediately at hello@copeswipe.com if you suspect unauthorized access to your account
    • Log out of your account when using shared or public devices

    5. Clinician Obligations and Responsibilities

    5.1 HIPAA Compliance

    Clinicians using CopeSwipe are Covered Entities under HIPAA and are independently responsible for their own HIPAA compliance. TherAptAI Corporation operates as a Business Associate. Before using CopeSwipe to process any Protected Health Information ("PHI"), clinicians must execute a Business Associate Agreement ("BAA") with TherAptAI Corporation. Use of the Service to process PHI without an executed BAA is prohibited.

    5.2 Client Consent

    You are solely responsible for obtaining all consents, authorizations, and releases required by applicable law and professional ethics standards before using CopeSwipe with any client, including consent to use digital tools in treatment.

    5.3 Clinical Judgment

    CopeSwipe is a tool to support your clinical practice. You are solely responsible for all clinical decisions, including which exercises to assign, how to interpret client progress data, and how to respond to any clinical concerns raised by client activity within the platform. The Service does not replace clinical supervision, consultation, or judgment.

    5.4 Licensure Maintenance

    You agree to maintain your professional license in active, good standing throughout your use of the Service. If your license is suspended, revoked, or lapses, you must immediately cease using the Service for any client-facing purpose and notify us at hello@copeswipe.com.

    5.5 Accurate Information

    You agree not to misrepresent your credentials, license status, or professional affiliations in your CopeSwipe profile or in any use of the Service.

    6. Subscription Plans and Billing

    6.1 Plans

    CopeSwipe is always free for clients. Clinician access is offered through the following paid subscription plans:

    Subscriptions may be billed monthly or annually, and annual subscriptions are offered at a discount to the monthly rate. Current prices, included seats, per-seat fees, and the specific features of each plan are shown on our website at the time of subscription. Plan features and pricing are subject to change with 30 days notice to subscribers on affected plans.

    • Solo Practitioner: for a single licensed clinician.
    • Group Practice: for multi-clinician practices, priced by the number of clinician seats.
    • Group Practice Pro: for multi-clinician practices that want additional capabilities, such as custom practice branding including your practice logo and practice name displayed on coping cards, priced by the number of clinician seats.

    6.2 Billing

    Paid subscriptions are billed monthly or annually in advance. By providing payment information, you authorize us to charge the applicable subscription fee. All fees are non-refundable except as required by law or as expressly stated in these Terms.

    6.3 Free Trial

    We may offer free trial periods at our discretion. At the end of a free trial, your account will automatically convert to the selected paid plan unless you cancel before the trial ends.

    6.4 Cancellation

    You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the paid period.

    6.5 Taxes

    You are responsible for any applicable taxes associated with your subscription. We will charge applicable taxes where required by law.

    7. Intellectual Property

    7.1 Our IP

    TherAptAI Corporation owns all right, title, and interest in and to the CopeSwipe platform, including its software, design, content, trademarks, and trade secrets. These Terms do not grant you any ownership rights in the Service.

    7.2 Your Data

    You retain ownership of all data you input into the Service, including client records and clinical content. By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide the Service to you.

    7.3 Feedback

    If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.

    7.4 AI-Generated Content

    Certain coping skill card images in the Service may be AI-generated. We make no representations regarding copyright ownership of AI-generated images and recommend that clinicians not treat such images as proprietary assets.

    8. Privacy and Data

    Our collection and use of personal information is governed by our Privacy Policy, available at copeswipe.com/privacy. By using the Service, you consent to the data practices described in the Privacy Policy.

    Clinicians are the data controllers for their clients' PHI within the Service. We process PHI only as directed by and on behalf of the clinician, consistent with our Business Associate Agreement.

    9. Not a Medical Device — Important Disclaimer

    CopeSwipe IS A WELLNESS AND PRACTICE MANAGEMENT TOOL. IT IS NOT A MEDICAL DEVICE AS DEFINED BY THE U.S. FOOD AND DRUG ADMINISTRATION OR ANY EQUIVALENT REGULATORY BODY.

    CopeSwipe does not:

    All coping skill exercises available through CopeSwipe are assigned at the sole discretion of the licensed clinician. The clinician bears full professional and legal responsibility for all clinical decisions made in connection with the use of this platform.

    If you or your client is experiencing a mental health emergency, call 988 (Suicide and Crisis Lifeline) or 911 immediately.

    • Provide clinical diagnoses of any mental health condition
    • Recommend specific treatments or treatment protocols
    • Replace the clinical judgment of a licensed mental health professional
    • Constitute the practice of medicine, psychology, or therapy

    10. Prohibited Uses

    You agree not to use the Service to:

    • Violate any applicable law, regulation, or professional ethics standard
    • Process PHI without an executed Business Associate Agreement with us
    • Impersonate any person or entity or misrepresent your credentials
    • Attempt to gain unauthorized access to any part of the Service or its infrastructure
    • Introduce malware, viruses, or other harmful code
    • Scrape, harvest, or collect data from the Service by automated means
    • Use the Service for any purpose that is competitive with CopeSwipe without our written consent
    • Attempt to reverse engineer, decompile, or disassemble the Service
    • Assign or transfer your account without our prior written consent

    11. Termination

    11.1 Termination by You

    You may terminate your account at any time by canceling your subscription and ceasing use of the Service. Termination does not entitle you to a refund of prepaid fees.

    11.2 Termination by Us

    We reserve the right to suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, your license has lapsed or been revoked, or your use of the Service poses a risk to other users or to the integrity of the platform.

    11.3 Effect of Termination

    Upon termination, your right to access the Service ceases immediately. We will retain and handle your data as described in our Privacy Policy and any applicable Business Associate Agreement. Sections 7, 9, 12, 13, and 14 survive termination.

    12. Disclaimers of Warranty

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, THERAPTAI CORPORATION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any content available through the Service.

    13. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THERAPTAI CORPORATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

    Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

    14. Indemnification

    You agree to indemnify, defend, and hold harmless TherAptAI Corporation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or professional standard; (d) any clinical decisions you make in connection with your use of the Service; or (e) your infringement of any third-party right.

    15. Dispute Resolution and Governing Law

    15.1 Governing Law

    These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.

    15.2 Informal Resolution

    Before filing any formal legal claim, you agree to contact us at hello@copeswipe.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving written notice.

    15.3 Arbitration

    If informal resolution fails, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

    15.4 Exceptions

    Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm, including with respect to intellectual property rights.

    16. Changes to Terms

    We may modify these Terms at any time. We will notify clinician subscribers of material changes via email with at least 30 days notice. Your continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the Service and cancel your subscription before the change takes effect.

    17. General Provisions

    • Entire Agreement: These Terms, together with the Privacy Policy and any executed Business Associate Agreement, constitute the entire agreement between you and us regarding the Service.
    • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
    • No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
    • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights freely, including in connection with a merger or acquisition.
    • Force Majeure: We are not liable for delays or failures in performance resulting from causes beyond our reasonable control.
